Terms of Service

Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Teal Apex Group LLC ("Teal Apex," "we," "us"). By creating an account, downloading the app, or using PropertyGuard you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

You must be at least 18 years old and able to form a binding contract. If you use PropertyGuard on behalf of a company, you represent that you have authority to bind that company.

Your account

• Provide accurate registration information and keep it current.
• Keep your password and login credentials confidential. You are responsible for activity under your account.
• Notify us promptly at tealapexgroup@gmail.com if you suspect unauthorized access.
• One account per person. Don't share accounts. Property managers can invite tenants and teammates with separate logins.

License to use

Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use PropertyGuard for your internal property management or tenancy purposes.

You may not: copy, modify, reverse-engineer, or create derivative works of PropertyGuard; resell or sublicense access; use the service to build a competing product; remove proprietary notices; or scrape or systematically extract data without our written permission.

Subscriptions & billing

• Free tier. A free plan is available with usage limits. We may change limits with notice.
• Paid plans. Billed monthly or annually in advance. Pricing on the pricing page applies.
• Auto-renewal. Subscriptions renew automatically until cancelled. Cancel any time in Settings → Billing (web), via your Apple Account on iOS, or via your Google Play account on Android.
• Refunds. Web subscriptions are non-refundable except where required by law. For in-app purchases on iOS, Apple's standard refund policy applies; request a refund through reportaproblem.apple.com or your Apple Account settings. For Android, Google Play's refund policy applies; manage cancellation and refunds through Google Play settings or your Google Account.
• Taxes. Prices exclude applicable taxes; you are responsible for any sales, use, or VAT taxes.
• Price changes. We may change prices on at least 30 days' notice. Changes apply at your next renewal.

Your content

You own the content you put into PropertyGuard (photos, notes, property records, messages, "Your Content"). You grant us a worldwide, royalty-free license to host, store, transmit, and display Your Content solely to provide the service to you and authorized users on your account.

You represent that you have the rights to upload and use Your Content and that it does not violate any law or third-party rights. You are responsible for complying with applicable landlord-tenant, fair housing, and recording laws in your jurisdiction.

Prohibited conduct

Don't use PropertyGuard to:

• Violate any law (including fair housing, consumer protection, or wiretap laws).
• Discriminate against any tenant or applicant on a protected basis.
• Upload malware, attempt to bypass security, or probe the service for vulnerabilities without authorization.
• Harass, threaten, or impersonate any person.
• Scrape, crawl, or use bots against the service without our written consent.
• Use the service to send spam or unsolicited communications.
• Reverse engineer or attempt to derive source code.

We may suspend or terminate accounts that violate this section.

Availability & changes

We work to keep PropertyGuard available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features. For material changes that reduce functionality, we'll provide reasonable notice. Beta features are offered as-is and may change without notice.

Third-party services

PropertyGuard integrates with third parties (e.g. Stripe for payments, Apple / Google for notifications and sign-in, Supabase for data hosting). Your use of those services is governed by their own terms. We are not responsible for third-party services.

Disclaimers

PROPERTYGUARD IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

PropertyGuard is a tool. It is not a substitute for legal, accounting, or professional inspection advice. Inspection reports generated through the service do not constitute a certified inspection unless performed by a licensed professional.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAL APEX GROUP AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnity

You agree to defend, indemnify, and hold harmless Teal Apex Group from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) Your Content, (b) your use of the service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, for security or legal reasons, or if we discontinue the service. Sections that by their nature should survive (ownership, content license, disclaimers, liability, indemnity, disputes) will survive termination.

Disputes & arbitration

These Terms are governed by the laws of the United States and the State of Colorado, without regard to conflict-of-law rules.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting tealapexgroup@gmail.com. We'll do the same.

Binding arbitration. If we can't resolve informally within 60 days, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in your county of residence or by video. Either party may bring a small claims action in lieu of arbitration.

Class waiver. Disputes must be brought individually. You waive any right to participate in a class action.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing tealapexgroup@gmail.com with the subject line "Arbitration Opt-Out."

Apple App Store terms

If you use PropertyGuard on iOS, the following apply in addition to these Terms:

• These Terms are between you and Teal Apex Group only, not Apple. Apple is not responsible for the app or its content.
• The license granted is non-transferable and limited to use on Apple-branded devices you own or control, per the Usage Rules in the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support.
• If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; Apple has no other warranty obligation.
• Teal Apex Group, not Apple, is responsible for product claims, IP claims, and statutory or regulatory compliance.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play terms

If you use PropertyGuard on Android via Google Play:

• You acknowledge that Google Play's Terms of Service apply to your installation and use.
• Google is not a party to these Terms and is not responsible for the app.
• Refunds for in-app purchases on Google Play are governed by Google's refund policies.

General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Teal Apex Group regarding the service.
• Changes. We may update these Terms; we'll notify you of material changes at least 30 days in advance. Continued use after the effective date means you accept the new Terms.
• Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger or sale.
• No waiver. Our failure to enforce a provision is not a waiver.
• Severability. If any provision is found unenforceable, the rest remain in effect.
• Notices. We'll send legal notices to the email on your account. You can reach us at tealapexgroup@gmail.com.
